Acknowledgment

By using our Website and Service, You are a “User” and therefore You accept and agree to this T&C policy, as a legal contract between You and the Company. The Company further reserves the right in its sole discretion, to make formatting and edits of the Content that in any way infringes these limits or restrictions. Under no circumstance will Lawyerly be held liable in any way for any Content posted by the User, including any errors or omissions, or any loss or damage of any kind incurred as a result of the use of any Content or Service. Therefore, the User shall hold Lawyerly harmless from any damage caused by the infringement of these T&C.

 

“As Is” and “As Available” Disclaimer

The Service is provided to the User “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. Lawyerly provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.

 

Lawyerly shall in good faith do its utmost to ensure the availability of the Service and the uninterrupted operation of the Website. However, the User’s access to the Service may be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of improvements or services. Lawyerly will attempt to limit the frequency and duration of any such suspension or restriction.

 

Confidentiality

By providing the service of “Calculate the cost of your translation”, Lawyerly calculates the cost of the translation using a count of words in the original or source language. Such count cost may be an estimate and the final price established consensually and by writing by the parties in the form of an order.

 

The documents or information uploaded by the User through the tool “Calculate the cost of your translation”, will be treated by Lawyerly as Confidential Information, in case that information can be considered as such according with the definition given in these T&C. The User warrants that it has the right to disclose the Confidential Information to the Company.

 

Lawyerly shall use such information solely to render the contracted services and shall use good efforts to preserve it and not to disclose it to any third party that is not affiliated with the Company or needed for the provision of any of the contracted services. The Company will not use or disclose Confidential Information for purposes other than the activities contemplated by this T&C and/or any other kind of agreement with the User, or except as required by law, court process, or under the lawful requirement of a governmental agency, or if the Company is advised by counsel that it may incur liability for failure to make a disclosure, or except at the request or with the written consent of the User.

 

Consequently, the User acknowledges that Lawyerly may provide access to and use of Confidential Information provided by the User to its employees, contractors, agents, translators, professional advisors, auditors, persons needed for the performance of the services provided by Lawyerly or persons performing similar functions.

 

The preceding shall not apply to any information (i) that is publicly available when provided or thereafter becomes publicly available, other than through a breach of these T&C, (ii) that is required in any legal or regulatory proceeding, investigation, audit, examination, subpoena, civil investigative demand or other similar processes, or by operation of law or regulation, or (iii) where Lawyerly has received the prior written consent of the User who provided the information.

 

In particular, Lawyerly shall use the information provided by the User through the tool “Calculate the cost of your translation” for calculating the price of the service and for providing the service required by the User and such information will not be disclosed publicly, unless otherwise provided. In the event that such information enters the public domain, the Company’s confidentiality obligation ceases to exist.

 

Liability

Lawyerly does not acknowledge any guarantee or condition related to the services offered in this Webpage, including all implicit guarantees and conditions regarding suitability for a particular purpose, ownership, and non-violation of third-party rights.

 

We shall not be liable, for any reason whatsoever, for special, indirect, or consequential damages or for any other damages of any type resulting from the loss of rights to use, loss of information, or lost profits, whether they result from the performance of a contract, negligence, or other detrimental actions, deriving from or in some way connected with the services provided by Lawyerly.

 

Indemnification

The User agrees to indemnify and hold Lawyerly harmless from and against any third-party claim, cause of action, demand, or damages related to or arising out of content posted or transmitted by the User (including but not limited to content that a third-party deems defamatory or otherwise harmful or offensive); and, in general, of the violation of the T&C policy.

Your access to and use of the Website and the Service is conditioned on Your acceptance of and compliance with the Privacy Policy of Lawyerly.

 

Intellectual Property Rights

The Service provided by Lawyerly through the Website (excluding the Content provided by Users), features, and functionality are the exclusive property of the Company. The Service is protected by intellectual property rights, such as copyright, trademark, among others, under the laws of Spain, the European Union, and internationally.

 

Our intellectual property rights, unless otherwise established, may not be used in connection with any product or service without the prior written consent of Lawyerly

 

Hence, the Company owns or is a licensee of the registered trademarks used in the Website, which are protected by Spanish and international laws. In addition, graphics, logos, page headers, button icons, images, scripts, and service names included in or made available through the Website and the Service are under Our intellectual property rights or licenses. This T&C policy does not authorize the User to use our IP rights, or any similar or related rights for any use on classified advertising, Internet advertising, social networks, online forums, online communication services or any similar or related use, or any other use that is likely to cause confusion on the part of, to cause mistake by or to deceive the public as to any affiliation, connection, association, origin, sponsorship, approval or endorsement by or with Lawyerly.

 

Feedback

In any Feedback You provide the Company, You automatically grant and assign to Lawyerly a royalty-free, worldwide, irrevocable, and perpetual license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction, as well as to incorporate into our sites and services any suggestions, enhancement requests, recommendations or other Feedback provided in any way possible.

 

Termination

Lawyerly may terminate or suspend the User’s access and use of the Service or Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation in case of breach of these T&C.

 

Upon termination, the User’s right to use the Service will cease immediately.

 

Miscellaneous

Governing Law; Forum

Any and all claims, causes of action, or disputes between the User and Lawyerly arising out of or related to this T&C policy, our Website, and the services or content accessed through it, will be governed by the laws of Spain, without regard to conflict or choice of law principles.

 

Dispute Resolution

These T&C and any dispute concerning the interpretation, execution, and validity of this agreement are subject to the law and the exclusive jurisdiction of Spain, excluding its conflicts of law rules.


In the cases it is allowed by law, the Parties agree to submit any dispute to the Courts of Madrid, Spain, or the place where Lawyerly has its registered office at the time of the submission of the dispute.

 

Waiver

Except as provided, failure to exercise a right or to require performance of an obligation under this T&C policy shall not affect the User’s or the Company’s ability to exercise such right or require such performance at any time thereafter. The waiver of a breach shall not constitute a waiver of any subsequent breach.
Therefore, any failure by Lawyerly to enforce or exercise any provision of the T&C policy, or any related right, will not constitute a waiver of that provision or right.

 

Severability

This T&C policy constitutes the entire agreement between the User and Lawyerly and supersedes any prior written or oral agreement relating to the use of the Service. There are no third-party beneficiaries to this policy. If any provision of the T&C policy is found by a court of competent jurisdiction to be unenforceable, all other provisions of the policy will remain in full force and effect.

 

Language and Interpretation

The original version of this T&C policy is in the English language. However, it may have been made available in other languages for the User’s information.

The User agrees that the original English text shall prevail in the case of a dispute.

 

Changes to these T&C

Lawyerly reserves the right to modify these T&C at any time, informing Users by publishing a notice within the Website.

Users who continue to use the Service after the publication of the changes are understood to explicitly accept the new Terms in their entirety.
